Terms of Service & Liability Waiver

1. Acceptance of Terms of Service
These Master Terms of Service ("Terms") constitute a legally binding contract between you (the "User", "Artist", "Fan", or "Attendee") and The Imagine Universe LLC, operating as the Independent Live League ("Company," "we," "our," or "us"). By accessing our platform, utilizing our services, uploading any content, purchasing tickets, or participating in any digital or physical event, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to all terms and conditions herein, your sole remedy is to immediately cease use of our services. We reserve the right to modify these Terms at any time; continued use constitutes acceptance of revised Terms.
2. Eligibility and Account Registration
You must be at least 18 years of age to purchase tickets, register for an account, or submit content. If you are under 18, you may only use the services under the direct supervision of a parent or legal guardian who agrees to be bound by these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We reserve the right to suspend or terminate accounts that provide false or misleading information.
3. Ticketing, Event Access, and Venue Rules
By purchasing a ticket, holding a pass, or attending an event, you agree to the following strict conditions:
- Revocable License: A ticket is a revocable license to attend the specific event. The Company and venue management reserve the absolute right, without refund of any amount paid, to refuse admission to, or eject, any person whose conduct management deems disorderly, who uses vulgar or abusive language, or who fails to comply with any venue rules.
- Search and Security: You and your belongings may be searched upon entry to the event and at any time while inside the venue. You consent to such searches and waive any related claims that may arise. If you elect not to consent to such searches, you will be denied entry to the event without a refund.
- Prohibited Items: Weapons of any kind, illegal substances, outside food or beverages, and professional recording equipment are strictly prohibited. Confiscated items will not be returned.
- Lineup and Schedule Changes: Event dates, times, venues, and performance lineups are strictly subject to change. No refunds will be issued for such changes, delays, or partial cancellations.
- Unauthorized Resale: Tickets obtained from unauthorized sources may be lost, stolen, or counterfeit, and if so, are void. Resale of tickets above face value may be prohibited by local law and will result in the immediate cancellation of the ticket.
4. User Conduct and Prohibited Activities
You agree not to use the platform or services for any unlawful purpose or any purpose prohibited under this clause. You strictly agree not to:
- Scrape, spider, or use automated means to access the platform for any purpose.
- Interfere with or disrupt the security, integrity, or performance of the platform, servers, or networks.
- Impersonate any person or entity, or falsely state your affiliation with a person or entity.
- Upload or transmit viruses, malware, or any other malicious code.
- Engage in commercial activities, unauthorized sponsorships, or unauthorized advertising on the platform or at events without our express written consent.
5. Release of Name, Image, Voice, and Likeness (NIL) & Artist Submissions
By submitting any performance video, song, audio track, photograph, biography, voice recording, or other media ("Submitted Content") through the "Submit Your Music" discovery form or other mechanisms, or by being filmed, photographed, or recorded at an event, you grant the Company a perpetual, irrevocable, royalty-free, fully paid-up, worldwide, sublicensable, and transferable non-exclusive license to use, reproduce, modify, adapt, publish, broadcast, distribute, translate, synchronize, create derivative works from, and commercialize your Submitted Content and your Name, Image, Voice, Likeness, and performance in perpetuity, in every territory in the world, in any media now known or hereafter developed. You explicitly agree to the following:
- Event Recording: You consent to being filmed, photographed, and recorded at physical events and grant us the unlimited right to use such media for commercial, promotional, and broadcast purposes globally.
- No Compensation & Unpaid Promotional Opportunity: You acknowledge that you are seeking a promotional opportunity to get exposure to the established audience of Imagine Alex and the Independent Live League. You waive any and all rights to past, present, or future compensation, royalties, residuals, sync fees, performance royalties, or per diems arising from the Company's use of your Submitted Content, music, or likeness. There are no paid placements.
- Warranty of Complete Ownership: You warrant and represent that you are the sole and exclusive owner of all rights (including 100% of the master sound recording rights and underlying musical composition publishing rights) in and to your Submitted Content. You warrant that your submission does not violate any third-party contracts or rules of Performing Rights Organizations (PROs, such as ASCAP, BMI, SESAC, or SoundExchange) or exclusive record label agreements. You bear sole financial and legal liability if any third party challenges our use of your media.
- Waiver of Moral Rights: You unequivocally waive any "moral rights" or rights of privacy and publicity in your Submitted Content to the maximum extent permitted by applicable law.
- No Guarantees of Performance or Vetting: Submission of content does not guarantee review, placement on the Hot 50 list, feedback, or selection for live showcases or tour slots. Selection is at the sole, absolute discretion of the Company.
6. Digital Millennium Copyright Act (DMCA) Policy
The Company respects the intellectual property rights of others. If you are a copyright owner or an agent thereof and believe that any content hosted on our platform infringes your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our Designated Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):
- A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
- Information reasonably sufficient to permit us to contact you, such as an address, telephone number, and, if available, an email address;
- A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
- A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

7. Voluntary Donations, Tips, Patron Contributions, and Paid Premium Access
Our platform offers features that allow fans to "Boost the League" or contribute monthly as a Patron. We also offer Paid Premium Access (such as exclusive digital video streams or masterclasses processed via Stripe). By transacting on our platform, you agree to the following conditions:
- Voluntary Contributions: All tips, boosts, and monthly patron tiers are strictly voluntary donations meant to support the overall ecosystem, regional touring, venue rental, and event production. They do not constitute a purchase of equity, investment, stock, debt, or a contract for specific future performance or guaranteed physical delivery.
- All Contributions are Non-Refundable: Due to the immediate deployment of resources to support independent artists and venue logistics, all tips, boosts, and monthly patron contributions are completely non-refundable.
- Premium Digital Access License: Purchasing Paid Premium Access (e.g., Stripe payments for ILL.TV content) grants you a limited, non-exclusive, revocable, non-transferable, personal license to view the designated digital stream. This transaction is final and non-refundable.
- No Service and Stream Guarantees: The Company does not guarantee continuous uptime, error-free streaming, audio resolution, or uninterrupted access to digital broadcasts. Digital delivery is dependent on local network conditions, third-party hosting, and user hardware. The Company is not responsible for any issues resulting from payment processor failures.
8. Gamified Mechanics, Leaderboards, "Hype" Points, and Virtual Goods
Our platform operates interactive features, including "Hype" voting meters, platform-wide metrics, and the Superfan Leaderboard. By interacting with these systems, you agree to the following terms:
- No Real-World Intrinsic Value: All "Hype" points, voting weights, leaderboard ranks, and virtual badges are digital constructs for entertainment and promotional tracking purposes only. They possess zero monetary value, do not constitute personal property, and cannot be purchased, sold, bartered, or transferred off-platform.
- Company Unilateral Authority: The Company reserves the sole, absolute, and unreviewable discretion to audit, modify, decrease, reset, or completely wipe any user's "Hype" point total, votes, or leaderboard standing at any time, for any reason, without notice, explanation, or liability.
- Anti-Manipulation & Fraud: You are strictly prohibited from using automated scripts, scrapers, bots, click-farms, emulator instances, coordinated voting syndicates, or any other artificial means to manipulate voting outcomes or inflate leaderboard rankings. Any suspect activity will result in the immediate forfeiture of points, permanent account suspension, and potential civil action for tortious interference.
- Outcome Disputes: All platform scoring, charts, and leaderboard standings determined by the Company's servers are final. The Company is not liable for errors in scoring, system lag, database syncing issues, or display delays.
9. Intellectual Property & Platform Integrity
The "Independent Live League" ecosystem, the "Independent Live League" moniker, our proprietary gamified scoring matrices, website design, text, graphics, and all associated software code are the exclusive intellectual property of the Company and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access the platform for personal use. You are strictly prohibited from reverse engineering or utilizing automated bots to manipulate the Superfan Leaderboard or Hype systems. Any attempt to artificially inflate rankings will result in immediate permanent bans and potential pursuit of damages for tortious interference.
10. Assumption of Risk, Interactive Simulators, Stunts, and Absolute Liability Release
Participation in, access of, or attendance at any Independent Live League physical or digital event involves inherent and elevated risks. By attending physical shows or using event-related systems, you agree to the following comprehensive waiver:
- Express Assumption of Risk: You acknowledge that participating in or watching live concerts, entering festival zones, and attending motorsports/stunt environments involves extreme and dangerous physical risks, including but not limited to catastrophic bodily injury, permanent disability, illness, paralysis, or death. These risks may result from crowd density, high-decibel noise, theatrical pyrotechnics, active staging equipment, or projectile hazards.
- Motorsports Stunt Race Hazards: The ILL.SUMMIT features a real-life high-speed 100-lap stunt race. As a spectator, you acknowledge that high-speed motor vehicles carry extreme risks. You assume all danger of bodily injury, hearing damage (prolonged exposure to engine decibels is dangerous and ear protection is highly recommended), flying debris, tire dust, exhaust fumes, and impacts. You agree to stay behind designated perimeter fences and obey all safety personnel.
- Interactive Simulators and Obstacle Course Challenges: You agree that participating in physical obstacle courses or utilizing motion-based sim racing simulators is completely voluntary. Simulators utilizing force-feedback steering, motion platforms, or VR goggles can cause severe motion sickness, vertigo, physical stress, epilepsy triggers, or seizures. Obstacle courses involve slips, trips, falls, and cardiovascular stress. By engaging in these activations, you represent that you are in good physical health and release the Company from all liability.
- Communicable Diseases: You inherently assume all risks related to exposure to communicable diseases, including but not limited to COVID-19, and agree not to hold the Company liable for any illness contracted at an event.
- Property Loss: The Company, venue management, and security personnel are not responsible for any lost, stolen, or damaged personal property brought to the venue.
- Total Release: To the fullest extent permitted by law, you unconditionally and irrevocably release, discharge, and covenant not to sue the Company, its owners, directors, sponsors, venue operators, or agents from any and all liability, claims, or causes of action arising out of ordinary negligence or any injury sustained on the premises.
11. Disclaimer of Warranties
THE SERVICES, PLATFORM, AND EVENTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
12. Limitation of Liability
UNDER NO CIRCUMSTANCES SHALL THE COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, OR SPONSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF OUR PLATFORM OR EVENTS, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE. IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID DIRECTLY TO THE COMPANY FOR THE SPECIFIC TICKET OR SERVICE IN DISPUTE WITHIN THE PAST SIX MONTHS.
13. Indemnification
You agree to fully defend, indemnify, and hold harmless the Company, its affiliates, venues, sponsors, and their respective officers and employees from any claims, damages, liabilities, costs, and expenses (including exorbitant and reasonable legal fees) arising from: (a) your breach of these Terms; (b) any claim that your Submitted Content infringes the intellectual property or privacy rights of any third party; or (c) your conduct at any physical event.
14. Mandatory Binding Arbitration & Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHTS.
- Arbitration Agreement: Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the platform, Submitted Content, platform metrics, gamified features, or attendance at an event shall be determined exclusively by mandatory, binding arbitration administered by the American Arbitration Association (AAA) rather than in court.
- Venue and Law: The arbitration shall take place exclusively in Westchester County, NY. These Terms shall be governed by the laws of the State of New York, without regard to its conflict of laws principles.
- Class Action Waiver: YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims.
15. Severability & Entire Agreement
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect. The failure of the Company to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. These Terms constitute the entire and exclusive understanding between you and the Company regarding the subject matter herein.
